Policy 1 — Vendor Commission & Membership Schedule

This Schedule forms part of the Scientific Emporium Vendor Agreement. Commercial rates shown below are proposed launch structures and should be approved by management before activation.

1.1 Commission Model

Scientific Emporium may charge a commission on completed marketplace transactions. Commission may differ by category, product type, fulfillment model, vendor status, campaign, or negotiated enterprise agreement.

  1. Suggested standard commission range: 3%–10% of the eligible product selling price.
  2. High-value instruments or negotiated institutional projects may use a lower negotiated rate.
  3. Consumables, reagents, and standard catalog products may use a standard category rate.
  4. Commission is calculated before or after VAT/tax only as specified in the final commercial schedule.
  5. Refunded or cancelled transactions should not generate a final sales commission, subject to applicable processing or cancellation fees.

1.2 Proposed Membership Plans

  1. Basic: entry-level vendor storefront, standard listings, standard search eligibility and order management.
  2. Silver: increased listing capacity, basic analytics, selected promotional opportunities and enhanced storefront features.
  3. Gold: expanded catalog, enhanced analytics, priority campaign eligibility, selected featured placements and account support.
  4. Premium: enterprise-level catalog, advanced analytics, priority support, negotiated promotional inventory and customized commercial terms.

Membership prices, listing limits and included promotional credits should be published in a separate rate card so they can be changed without rewriting the Vendor Agreement.

1.3 Optional Paid Services

  1. Sponsored search placement
  2. Featured product placement
  3. Homepage/category banners
  4. Vendor spotlight/brand page promotion
  5. Lead-generation campaigns
  6. Product-data/catalog upload services
  7. Photography/content services
  8. Logistics/fulfillment services
  9. Installation, calibration, maintenance or technical-service lead fees

1.4 Vendor Settlement

The applicable settlement cycle should be stated in each vendor’s commercial schedule. A launch model may use T+7, T+10 or T+15 business days after confirmed successful delivery, subject to refunds, disputes, taxes, payment settlement and other agreed deductions.

1.5 Deductions

  1. Marketplace commission
  2. Membership or service fees due
  3. Advertising/promotional charges
  4. Approved logistics/fulfillment charges
  5. Refunds, chargebacks or adjustments
  6. Taxes or withholding required by law
  7. Other charges expressly agreed with the Vendor

1.6 Rate Changes

Scientific Emporium may revise standard rates prospectively. Material commercial changes should be communicated before they take effect, and negotiated vendor-specific rates remain subject to their written commercial schedule.

3.1 Minimum Listing Information

  1. Accurate product title and description
  2. Brand/manufacturer
  3. Catalog/part number
  4. CAS number for applicable chemicals
  5. Grade, purity, concentration, or specification where relevant
  6. Pack size/unit of sale
  7. Country of origin where applicable

  10. Storage/shipping conditions
  11. Expiration/shelf-life information where relevant
  12. Warranty/service information for equipment
  13. Clear product image
  14. SDS/COA/technical documents where applicable

3.2 Listing Quality

Listings must be accurate, current, non-misleading, and written so a qualified customer can identify the product before ordering. Vendors must not keyword-stuff, duplicate listings deceptively, copy protected content without permission, or make unsupported performance or regulatory claims.

3.3 Inventory

Vendors must maintain reasonable inventory accuracy and promptly mark items Out of Stock, Backorder, Pre-Order or Special Order. Lead times for imported or manufacturer-sourced products should be stated realistically.

3.4 Order Acceptance

Vendors should confirm availability and accept or reject orders within the Platform service level. Once accepted, the Vendor must supply the exact ordered product unless the customer expressly approves a substitute.

3.5 Packaging and Documentation

  1. Use manufacturer-appropriate and transport-safe packaging.
  2. Protect fragile, sterile and sensitive products.
  3. Maintain required temperature conditions.
  4. Include invoice/delivery documentation and required product documents.
  5. Use appropriate labels and hazard markings where required.
  6. Do not conceal damaged or compromised packaging.

3.6 Fulfillment Performance

  1. Dispatch within the confirmed lead time.
  2. Provide shipment/tracking information where available.
  3. Respond promptly to fulfillment inquiries.
  4. Avoid preventable cancellations.
  5. Cooperate on delivery failures, damage, returns, and warranty claims.

3.7 Equipment Orders

For instruments and equipment, the listing or quotation should state installation requirements, site preparation, utilities, accessories, warranty, training, calibration/qualification options, preventive maintenance, and service coverage where applicable.

3.8 Performance Management

Scientific Emporium may monitor cancellation rate, late shipment, complaint rate, return rate, authenticity issues, response time, customer ratings, and listing quality. Repeated poor performance may reduce visibility or lead to suspension.

Policy 4 — Return, Refund & Cancellation Policy

4.1 General Principle

Scientific Emporium aims to provide a fair process while recognizing that many scientific products cannot safely be returned once opened, temperature-exposed, contaminated, customized or specially imported.

4.2 Eligible Return Reasons

  1. Incorrect product supplied
  2. Product materially differs from the confirmed listing or quotation
  3. Product arrives damaged
  4. Missing components
  5. Verified manufacturing defect
  6. Expired product supplied without prior disclosure
  7. Other return rights required by applicable law

4.3 Return Conditions

Customers should notify Scientific Emporium within the return window published for the relevant product/category and preserve the product, original packaging, labels, accessories and documents. Photographs, serial numbers, lot/batch numbers, temperature evidence or other information may be required.

4.4 Generally Non-Returnable Items

  1. Opened chemicals or reagents unless defective/non-conforming
  2. Cold-chain or temperature-sensitive products after accepted delivery
  3. Biological materials
  4. Customized, configured or special-order products
  5. Products imported specifically for the customer
  6. Sterile products with opened/compromised packaging
  7. Consumables exposed to contamination risk
  8. Products damaged through improper customer storage or use

4.5 Refund Method

Approved refunds should ordinarily be returned to the original payment method or handled through the approved institutional payment process. Timing depends on inspection, vendor confirmation, payment-provider processing and applicable law.

4.6 Cancellation

Standard in-stock orders may be cancellable before processing or dispatch. Special-order, imported, configured, made-to-order or manufacturer-confirmed items may become non-cancellable once committed. Any applicable cancellation charge must be disclosed or contractually agreed.

4.7 Replacement

Where practical, a replacement may be offered instead of a refund for damaged, defective or incorrectly supplied products, subject to customer agreement and applicable rights.

4.8 Abuse Prevention

Scientific Emporium may investigate unusually high return activity, altered products, false damage claims or other suspected abuse while preserving legitimate customer rights.

Policy 5 — Shipping & Delivery Policy

5.1 Delivery Coverage

Scientific Emporium may offer delivery within Dhaka and nationwide in Bangladesh through vendors, Platform logistics, or approved third-party carriers. Availability depends on product type, destination, carrier capability and regulatory restrictions.

5.2 Delivery Charges

Shipping charges may depend on weight, dimensions, destination, urgency, cold-chain requirements, dangerous-goods classification, insurance, installation needs and other handling requirements. Charges should be shown in checkout, quotation or order confirmation where practicable.

5.3 Delivery Time

Displayed delivery dates are estimates unless expressly guaranteed. Imported and special-order products may have longer lead times due to manufacturer availability, international freight, customs, permits or regulatory clearance.

5.4 Delivery Models

  1. Vendor Direct: Vendor ships directly to the customer.
  2. Scientific Emporium Fulfillment: inventory is fulfilled through a Platform-managed process.
  3. Third-Party Logistics: an approved carrier handles delivery.
  4. Specialized Delivery: cold-chain, dangerous-goods, fragile, or installation-dependent shipment.

5.5 Receiving and Inspection

Customers should inspect external packaging and product condition promptly. Visible damage, leakage, missing packages or temperature concerns should be reported as soon as reasonably possible with supporting evidence.

5.6 Cold-Chain Delivery

Temperature-sensitive items require appropriate packaging and delivery arrangements. Delivery windows, receiving availability and any temperature-monitoring requirements should be coordinated before dispatch where necessary.

5.7 Failed Delivery

Additional charges may apply where delivery fails because the customer supplied an incorrect address, an authorized receiver is unavailable, site access is restricted, or the customer fails to meet disclosed receiving requirements.

5.8 Risk, Title and Insurance

The final Vendor Agreement and customer sales terms should define when title and risk transfer for each fulfillment model. High-value or specialized shipments may require insurance.

5.9 Force Majeure and Delays

Scientific Emporium and its logistics partners are not responsible for delays outside reasonable control, subject to applicable law, but should communicate material delays and available options to customers.
